Prerequisite: Founder equity & IP (Gate A) must be Ready — sole founder equity structure locked and IP assignment signed — before filing Atlas or inviting external investors.

Investor sharing: Gate A ready— founders only; do not add investor emails to live auth yet

  • Gate A — sole-founder equity + IP signed  — Met. 90/10 + prior-invention schedule locked; sole-founder side letter signed + vaulted 2026-07-17. See Corporate Legal → Founder equity & IP.
  • Atlas trigger — runway-sized committed check  — Open. Primary path: committed check covering Atlas (~$500) + counsel + ops per Financials use-of-funds ($1.0M / 12 mo). Do not file on a Pakistan entity.
  • Delaware C-Corp filed (Stripe Atlas) + stand-up  — Open. Certificate / company kit, EIN, bank, founder stock + confirmatory IP assignments, option pool recorded.
  • Entity docs populated in this room  — Open. Replace Entity placeholders with real docs or private vault links (no secrets in public site deploy).

Trigger for Atlas

File only when Gate A is Ready and one of:

  • Runway-sized committed check / term sheet (primary path — covers Atlas + counsel + operating burn per Use of funds), or
  • Interim budget for Atlas (~$500) + counsel buffer only if an angel advances formation as a reimbursable expense inside the SAFE principal

Also:

  • One founder designated as incorporator / Atlas account owner
  • Company name availability checked; domain/email for registered agent ready
  • Flip INCORPORATION_GATES.atlasTrigger.mettrue

File and stand up the entity

  • File C-Corp via Stripe Atlas (Delaware)
  • Receive certificate of incorporation / company kit
  • Obtain EIN
  • Open company bank account
  • Adopt bylaws / initial board consents (Atlas or counsel package)
  • Issue founder restricted stock per Gate A split; file 83(b) elections within deadline if required
  • Execute confirmatory IP assignments into the Delaware entity
  • Create option pool (10% FD locked at Gate A) and record in cap table software (Pulley, Carta, or equivalent)
  • Flip INCORPORATION_GATES.delawareCorp.mettrue
  • Post-Atlas: apply NVIDIA Inception (company-domain email + incorporation date) — only after this section is complete

Update this data room

  • Replace Entity placeholders with real docs (or secure links — no secrets in public site deploy)

  • Refresh Burn / Use of funds with entity-aware numbers if needed
